A common question is: what exactly is a beneficial owner?

Under Botswana’s regulatory framework, and in line with CIPA requirements, a beneficial owner is not merely a registered shareholder. A beneficial owner is defined as a natural person who ultimately owns or exercises effective control over a company, or on whose behalf a transaction is conducted.

In practical terms, a beneficial owner is:

  • The individual who ultimately owns or controls the company.
  • A person on whose behalf transactions are carried out.
  • The person who exercises final decision-making power or derives the real economic benefit, even where ownership is held indirectly through nominees, trusts, or layered corporate structures.

 

What must be prepared for CIPA filing

To comply with the CIPA Online Business Registration System (OBRS), companies are required to identify and capture beneficial ownership information accurately. The following should be prepared:

  • A clear ownership structure (organogram) showing the chain of ownership up to the natural person(s) who qualify as beneficial owners. While this is not uploaded on OBRS, it is an essential internal compliance document and may be required for verification.
  • Particulars of the beneficial owner, including:
  • Full name of the individual.
  • Certified copy of a valid Omang (for citizens) or passport (for non-citizens).
  • Proof of residential address.
  • Nature and extent of interest or control (for example, percentage shareholding, voting rights, or other forms of control).
    • A signed Beneficial Owner Consent Form, as prescribed by CIPA, confirming that the individual agrees to be recorded as a beneficial owner.
    • A board resolution confirming the beneficial ownership details, which should include:
  • The registered name of the company.
  • The full name of the beneficial owner.
  • The nature and extent of the beneficial interest or control.

 

When to file beneficial ownership information

CIPA requires that beneficial ownership information be submitted at the time of company incorporation through the OBRS platform. This makes it critical to identify and verify beneficial owners before initiating the registration process.

Additionally, companies have an ongoing obligation to ensure that beneficial ownership records remain accurate and up to date. Any changes to beneficial ownership must be updated on the CIPA system within the prescribed timeframe.
